These Terms of Service (“Terms”) are a legal agreement between you and Andrew Blakeslee Moore (“Nucleic,” “we,” “us,” or “our”) governing your use of the Nucleic software and website.
By downloading, installing, or using Nucleic — including the macOS app, the iPhone remote app, and the website at nucleic.blakeslee.xyz (together, the “Service”) — you agree to these Terms. If you do not agree, do not use the Service.
01The Service
Nucleic is “mission control for a fleet of coding agents”: a macOS app that runs coding agents (such as Claude Code, Codex, Grok Build, and other ACP-compatible agents) in parallel, each in its own isolated git worktree, with one cockpit to watch, approve, and merge their work — plus an iPhone remote and supporting cloud services for updates, an end-to-end-encrypted relay, and notifications. Nucleic orchestrates these agents and your repositories on your own hardware; it does not itself provide the underlying AI models.
02Beta software
Nucleic is currently offered as an open beta and is a work in progress. It may contain bugs, behave unexpectedly, change, or be interrupted or discontinued at any time. Features may be added, modified, or removed without notice, and we do not guarantee any particular level of availability, performance, or data preservation. You should not rely on beta software for mission-critical work without your own safeguards, such as version control and backups.
03Eligibility
You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) and able to form a binding contract to use the Service. If you use Nucleic on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
04License
Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to download and use Nucleic for your own software-development purposes. We (and our licensors) retain all rights, title, and interest in and to the Service that are not expressly granted to you.
You may not, except to the extent this restriction is prohibited by applicable law or permitted by the license of an open-source component: (a) sell, rent, sublicense, or redistribute the Service; (b) reverse engineer, decompile, or disassemble the proprietary parts of the Service; (c) remove or alter any proprietary notices; or (d) use the Service to build a competing product by copying it.
Nucleic includes open-source components, which are licensed to you under their own respective licenses; nothing in these Terms limits your rights under those licenses.
05Your responsibilities & acceptable use
Nucleic is a powerful tool that runs coding agents which can read, create, modify, and delete files and execute commands on your machine. You are solely responsible for how you use it and for the results. In particular:
- Review the work. You are responsible for reviewing, approving, testing, and merging the changes your agents produce. AI agents can make mistakes or produce incorrect, insecure, or destructive output.
- Automated and unattended features. Features such as Autoship, Orchestra, and Nucleic Control can let agents act, merge work, or spawn further agents based on standing consent you grant. You are responsible for the scope of consent you give and for any actions taken under it.
- Your content and rights. You must have the necessary rights to the repositories, code, credentials, and other materials you use with Nucleic, and your use must not infringe anyone else's rights.
- Lawful use. You may not use the Service to violate any law, to develop or distribute malware, to gain unauthorized access to systems, or to harm others.
- No interference. You may not abuse, overload, probe, or attempt to circumvent the security of our cloud services (including the relay, update, and analytics endpoints), or use them other than through the app as intended.
06Third-party agents & services
Nucleic connects to AI coding agents and other services operated by third parties (for example, Anthropic, OpenAI, and xAI). When you run such an agent, your prompts and relevant code are sent to that provider, and your use of it is governed by that provider's own terms of service, usage policies, and privacy policy. You are responsible for maintaining your own accounts, credentials, and API keys for those services, for any fees they charge, and for complying with their rules. We are not responsible for third-party services, their availability, or their output, and we do not endorse them.
07Intellectual property & your code
As between you and us, you own your code and the content you create or process with Nucleic. We claim no ownership over your repositories or work product. The Nucleic name, logo, app, website, and original software are owned by us and protected by intellectual-property laws.
If you choose to send us feedback, suggestions, or bug reports, you grant us a non-exclusive, royalty-free, perpetual license to use that feedback to improve the Service, without obligation to you.
08Privacy
Our handling of data is described in the Privacy Policy, which is incorporated into these Terms by reference. In short, Nucleic is local-first, requires no account, and collects only anonymous, opt-out usage data.
09App stores & distribution
The macOS app is distributed directly by us and updated via Sparkle. Where the iPhone app is distributed through Apple's App Store or TestFlight, your installation and use are also subject to Apple's applicable terms, and these Terms are between you and us, not Apple. Apple is not responsible for the Service or for providing support, and Apple is a third-party beneficiary of these Terms only to the extent its rules require.
10Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OUTPUT OF THE CODING AGENTS WILL BE ACCURATE, RELIABLE, OR SUITABLE FOR YOUR PURPOSES. YOU USE THE SERVICE — AND ACT ON ITS OUTPUT — AT YOUR OWN RISK. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
11Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL NUCLEIC (ANDREW BLAKESLEE MOORE) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, CODE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, INCLUDING ANY ACTIONS TAKEN OR OUTPUT PRODUCED BY CODING AGENTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM (WHICH, DURING THE FREE BETA, IS ZERO) OR (B) USD $100. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
12Indemnification
You agree to indemnify and hold harmless Nucleic (Andrew Blakeslee Moore) from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your content or code, your violation of these Terms, or your violation of any law or the rights of any third party (including the terms of any third-party agent or service).
13Termination
You may stop using the Service and uninstall the app at any time. We may suspend or terminate your access to the Service (including the cloud components) at any time if you violate these Terms or if we discontinue the Service. The sections that by their nature should survive termination — including license restrictions, intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.
14Governing law & disputes
These Terms are governed by the laws of the State of California and applicable United States federal law, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in California will have exclusive jurisdiction over any dispute that is not otherwise resolved, and you consent to personal jurisdiction there, except where applicable law gives you the right to bring proceedings in your local courts. Before filing a formal claim, you agree to first contact us at hello@nucleic.blakeslee.xyz so we can try to resolve the matter informally.
15Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Material changes will be reflected on this page, and your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
16Miscellaneous
These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a transfer of the Service.
